1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and OC Newborn Nanny ("we," "us," "our," or "Suzi Schwartz"), governing your use of our website www.ocnewbornnanny.com and our overnight newborn care, postpartum doula, sleep training, potty training, and parent consultation services.
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
2. Description of Services
OC Newborn Nanny provides the following services in Orange County, California and surrounding areas:
• Overnight Newborn Care: All-inclusive overnight care for newborns including feeding support, diaper changes, safe sleep practices, care logging, nursery tidying, and parent education. Sleep-focused care using a gentle, evidence-based approach to help babies sleep 9-12 hours by 12 weeks of age, typically involving a 12-week commitment, 4-5 nights per week.
• Overnight Postpartum Doula Support: Physical and emotional support for families adjusting to life with a new baby, including all-inclusive newborn care and evidence-based information, typically for 2-8 weeks duration.
• Sleep Training & Conditioning: Personalized sleep training using compassionate, evidence-based methods tailored to your family's goals and your child's unique needs.
• Potty Training: Certified potty training consultation and support, including guidance for challenges such as fear, withholding, constipation, or encopresis, available via phone or in-person sessions.
• Hands-On Newborn Sleep Consultation: 3-hour in-home consultations within the first 8 weeks postpartum, including real-time guidance on sleep, feeding, newborn basics, and two weeks of complimentary follow-up messaging support.
Service details, availability, and pricing will be discussed during your initial consultation and confirmed in a separate service agreement. Due to our personalized, one-on-one approach, we encourage you to reach out early to reserve support.
3. Not Medical Advice
IMPORTANT: Our services are for informational and supportive purposes only and do not constitute medical advice, diagnosis, or treatment. We are not licensed medical professionals, and our services should not replace the advice of physicians, pediatricians, lactation consultants (IBCLCs), or other qualified healthcare providers.
While we provide evidence-based guidance and may offer referrals to trusted parenting and postpartum resources including pediatricians, OB-GYNs, and postpartum psychologists, you should always consult with a qualified healthcare professional regarding any medical concerns about yourself or your child. In case of a medical emergency, call 911 or seek immediate medical attention.
4. Client Responsibilities
As a client, you agree to:
• Provide accurate and complete information about your family, your child's health, and any relevant medical conditions or developmental concerns
• Inform us of any changes to your child's health or care needs
• Ensure a safe working environment free from hazards
• Provide necessary supplies for your child's care (diapers, formula, clothing, bottles, pump parts, etc.)
• Notify us promptly of any illness in the household that could affect our ability to provide services
• Respect appointment times and provide adequate notice for cancellations or schedule changes
• Review and comply with any separate service agreements, including the Potty Training Letter of Agreement where applicable
5. Booking, Scheduling, and Consultations
All services begin with an initial consultation to discuss your needs and develop a personalized care plan. Due to our one-on-one service model, we encourage early booking to secure availability. We typically respond to inquiries within 24 hours. For overnight newborn care, a 12-week commitment with 4-5 nights per week is typically recommended for optimal sleep conditioning results.
If our availability doesn't match your timeline, we will personally connect you with a trusted member of our professional care network—credentialed specialists, postpartum doulas, and sleep trainers who meet our high standards.
6. Payment Terms
• Service rates and payment terms will be outlined in your service agreement
• A deposit may be required to secure services
• Payment is due as specified in your service agreement
• Late payments may result in service suspension and may be subject to additional fees
7. Cancellation and Rescheduling Policy
• We require a minimum of 24 hours' notice for cancellations or rescheduling
• Cancellations made with less than 24 hours' notice may be subject to a cancellation fee
• No-shows may be charged the full session rate
• We reserve the right to cancel or reschedule services due to illness, emergency, or other unforeseen circumstances, and will provide as much notice as possible
8. Confidentiality
We respect your privacy and treat all information about you and your family as confidential, including care logs and documentation created during service delivery. We will not disclose your personal information to third parties without your consent, except as required by law or in emergency situations to protect the safety of your child or others. Please refer to our Privacy Policy for more details on how we handle your information.
9. Care Documentation
As part of our services, we maintain detailed care logs tracking your baby's overnight activities, including feedings, diaper changes, sleep patterns, and other relevant information. These logs are provided to you and remain confidential. Care documentation helps ensure continuity of care and supports your family's transition to independent routines.
10. Limitation of Liability
To the maximum extent permitted by applicable law, OC Newborn Nanny shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
Our total liability for any claims arising out of or related to our services shall not exceed the total amount paid by you for services during the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless OC Newborn Nanny, its owner, and any agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of these Terms, your misuse of our services, or your violation of any applicable law or the rights of any third party.
12. Independent Contractor Status
OC Newborn Nanny operates as an independent contractor and not as an employee of the Client. Nothing in these Terms creates an employer-employee relationship, partnership, joint venture, or agency relationship between the parties.
13. Intellectual Property
All content on our website, including text, graphics, logos, images, educational materials, and handouts, is the property of OC Newborn Nanny or its content suppliers and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.
14. Testimonials and Reviews
With your permission, we may use testimonials, reviews, or feedback you provide on our website and marketing materials. You grant us a non-exclusive, royalty-free license to use such content. We will not use your full name or identifying details without your explicit consent.
15. Professional Network and Referrals
OC Newborn Nanny maintains a network of trusted professionals including credentialed specialists, postpartum doulas, sleep trainers, pediatricians, OB-GYNs, parenting centers, and postpartum psychologists. Referrals to these professionals are provided as a courtesy and do not constitute an endorsement or guarantee of their services. You are responsible for independently evaluating any referred professionals.
16. Dispute Resolution
Any disputes arising out of or related to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue mediation before initiating any legal proceedings. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
17. Termination
Either party may terminate the service arrangement with reasonable notice. We reserve the right to refuse or discontinue services if the client fails to comply with these Terms, engages in abusive behavior, or if we determine that continuing services is not in the best interest of the child or family.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. Any changes will be posted on our website with an updated "Last Updated" date. Your continued use of our website or services after any modifications indicates your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
20. Entire Agreement
These Terms, together with our Privacy Policy, any service agreement you sign, and any applicable Letters of Agreement (such as the Potty Training Letter of Agreement), constitute the entire agreement between you and OC Newborn Nanny regarding the use of our website and services, and supersede any prior agreements or understandings.
